These API Terms of Use (“Terms”) outline Your obligations as a user of the VoxApp API. By accessing or using the VoxApp API, You agree to be bound by these Terms, which form a legally binding agreement between You and VoxApp.
VoxApp may update these Terms from time to time. Any updates will be posted on the VoxApp Developer Portal: https://developers.voxapp.com. Your continued use of the VoxApp API after any changes constitutes acceptance of the updated Terms.
By using the VoxApp API, You confirm that You have read, understood, and accepted these Terms and have the authority to act on behalf of any entity You represent.
2.1 Licence Grant
Subject to these Terms, VoxApp grants You a non-exclusive, non-transferable licence to access and use the VoxApp API solely for the purposes outlined in these Terms.

You agree to comply with all applicable laws and regulations, including data protection and privacy laws (such as the EU GDPR, the UK GDPR, the New Zealand Privacy Act 2020, or other local legislation), when using the VoxApp API or handling VoxApp Data. You will indemnify VoxApp against any claims arising from Your unlawful or non-compliant use of the API.
3.5 Security Requirements
You must implement reasonable and appropriate technical and organisational measures to protect VoxApp Data. Such measures may include:
4.1 Disclaimer of Continuity
The VoxApp API is provided “as is.” VoxApp does not guarantee uninterrupted or error-free access. VoxApp may modify or discontinue the API at any time without incurring liability.
5.1 Protection of Confidential Information
Each party must protect the other’s Confidential Information and use it only for the purposes of this Agreement.
5.2 Ownership of VoxApp Data
VoxApp Data remains the property of VoxApp or its users. You must handle such data securely and in compliance with Privacy Laws.
5.3 Data Breach Notification
In the event of a data breach involving VoxApp Data or Confidential Information, You must notify VoxApp immediately and cooperate with VoxApp to mitigate any damage.
5.4 Data Retention
Unless otherwise required by law or agreed in writing with VoxApp, You must not retain VoxApp Data for more than 60 days from the date it is collected or received via the VoxApp API. After this period, or sooner if data is no longer needed for Your legitimate purposes, You shall securely delete or anonymise the VoxApp Data.
6.1 VoxApp IP
All Intellectual Property Rights in the VoxApp API, Documentation, and related materials remain with VoxApp. You may not use VoxApp’s trademarks or other intellectual property without prior written consent.
6.2 Partner Services
You retain all rights in any Partner Services You develop, excluding any VoxApp IP embedded or utilised within such Partner Services.
7.1 No Warranties
VoxApp makes no warranties regarding the API’s suitability for Your needs or its compliance with third-party rights. You are solely responsible for ensuring that Your use of the API complies with applicable laws and regulations.
7.2 Reliance on Documentation
While VoxApp may provide Documentation, VoxApp does not warrant that it will be accurate, complete, or free of errors.
8.1 Exclusion of Certain Damages
To the maximum extent permitted by law, VoxApp is not liable for indirect, consequential, or incidental damages (including loss of profits, revenue, data, or goodwill) arising out of or related to Your use of the API.
8.2 Overall Liability Cap
VoxApp’s aggregate liability, whether in contract, tort (including negligence), or otherwise, is limited to the amount You have paid for API access in the twelve (12) months preceding the event giving rise to the claim, or NZD $1,000, whichever is greater or otherwise required by law.
9.1 Termination by VoxApp
VoxApp may terminate these Terms or suspend Your access to the API at any time, with or without cause, effective immediately.
9.2 Effect of Termination
Upon termination, You must cease all use of the API and promptly delete or destroy any VoxApp Data or Confidential Information in Your possession or control in accordance with Section 5.4.
10.1 Entire Agreement
These Terms constitute the entire understanding between You and VoxApp with respect to the VoxApp API and supersede all prior agreements or communications.
10.2 Waiver
Any waiver of these Terms must be in writing signed by the authorised representative of the waiving party.
10.3 Governing Law and Jurisdiction
These Terms are governed by the laws of New Zealand, and any disputes arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of New Zealand.
10.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be deemed modified to the extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect.
